Terms and Conditions related to scheduling appointments

These Terms and Conditions (“Terms”) explain how services are provided by Identity Managed LLC (“Identity Managed,” “we,” or “us”). They apply to all consulting, advisory, assessment, and professional services booked through our website, Microsoft Bookings, or any other engagement method.

By booking or receiving services, you (“Client” or “you”) agree to these Terms.


1. What We Provide

Identity Managed helps organizations design, improve, and operate identity and security solutions—primarily across Microsoft cloud technologies. Our services may include:

  • Microsoft 365 and Entra ID advisory
  • Identity and access architecture guidance
  • Security reviews and assessments
  • Configuration recommendations and best practices
  • Technical troubleshooting and strategic conversations

Unless we agree otherwise in writing, our work is advisory and consultative. We provide informed guidance and recommendations, not guarantees, legal opinions, or compliance certifications.


2. Bookings, Fees, and Payment

Scheduling

Sessions are scheduled through our Microsoft Bookings system or another agreed method. Availability is subject to change.

Fees

Pricing is disclosed at booking or in a written proposal. Payment is due in advance unless otherwise agreed in writing.

Non‑Payment

We may pause or cancel services if payment is not received as agreed.


3. Cancellations and Changes

  • Please cancel or reschedule at least 24 hours in advance.
  • Sessions canceled with less than 24 hours’ notice may be charged in full.
  • If we need to reschedule, we’ll provide notice as early as reasonably possible.

4. Your Responsibilities

To do our work effectively, we rely on accurate and complete information. You agree to:

  • Provide truthful, timely, and relevant details
  • Maintain appropriate administrative access when needed
  • Ensure your own backups, testing, and change controls
  • Remain responsible for regulatory, licensing, and compliance obligations

Identity Managed is not responsible for issues caused by missing, incorrect, or incomplete information.


5. No Promises of Outcomes

Security and identity work reduces risk—it does not eliminate it.

While we follow industry best practices and apply professional judgment, we don’t promise specific results, including security posture, availability, performance improvements, or compliance status. Technology environments, vendors, and threat landscapes change constantly.


6. Limitation of Liability

To the fullest extent allowed by law:

  • Identity Managed LLC is not liable for indirect, incidental, or consequential damages, including lost revenue, lost data, business interruption, or reputational harm.
  • If Identity Managed is found liable for any reason, total liability is limited to the amount you paid for the specific service that gave rise to the claim.

This limitation applies regardless of the legal theory under which a claim is brought.


7. Security and Data

We take security seriously and follow reasonable, industry‑recognized practices. However:

  • No system or configuration is perfectly secure
  • You remain responsible for your environment, data, and compliance
  • We are not liable for breaches or outages caused by third‑party platforms, vendors, or conditions outside our control

Unless explicitly agreed in writing, Identity Managed does not act as a data custodian.


8. Third‑Party Platforms

Our services may involve third‑party platforms, including Microsoft technologies. Identity Managed does not control these services and is not responsible for:

  • Platform outages or feature changes
  • Licensing, pricing, or availability decisions
  • Third‑party failures, defects, or security incidents

Your use of third‑party services remains governed by their respective terms.


9. Intellectual Property

Unless otherwise agreed in writing:

  • All tools, templates, methodologies, and materials remain the intellectual property of Identity Managed
  • You receive a non‑exclusive, non‑transferable license to use deliverables internally for your business purposes
  • Ownership rights are not transferred, and resale or redistribution is not permitted without prior written consent

10. Confidentiality

Each party agrees to treat non‑public business, technical, and security information received during the engagement as confidential, unless disclosure is required by law.


11. Indemnification

You agree to indemnify and hold harmless Identity Managed LLC from third‑party claims, damages, or losses arising from:

  • Your misuse of the services
  • Your failure to follow provided recommendations or instructions
  • Inaccurate, incomplete, or misleading information you provide
  • Your violation of applicable laws, regulations, or third‑party terms

This obligation applies only to the extent the claim results from your actions or decisions and does not apply to claims caused solely by Identity Managed’s gross negligence or willful misconduct.


12. Independent Relationship

Identity Managed provides services as an independent professional services provider. These Terms do not create a partnership, joint venture, or employment relationship.


13. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict‑of‑law principles. Any disputes must be brought exclusively in state or federal courts located in Arizona.


14. Events Outside Our Control

Identity Managed is not responsible for delays or failures caused by events beyond reasonable control, including natural disasters, power or network outages, vendor failures, labor disputes, or government actions.


15. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.


16. Acceptance

By booking or receiving services from Identity Managed LLC, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
